Pro Agreement
FixNeighbor LLC
Last Updated: October 16, 2026
1. About This Agreement
This Pro Agreement is between FixNeighbor LLC, a Missouri limited liability company (“FixNeighbor”), and you, the service professional or business that uses FixNeighbor to find and perform jobs (the “Pro”). You accept it by ticking the box in the app before sending your first quote.
The Terms of Service (in particular section 6 “Pro Terms” and sections 15, 16, 16.1 and 20), the Payment Policy and the Privacy Policy are part of this Agreement. If they conflict about the relationship between FixNeighbor and the Pro, this Agreement controls.
2. Independent Business
The Pro is an independent business, not an employee, partner or agent of FixNeighbor (Terms section 6.2). The Pro decides which requests to answer, its prices, its methods, tools, workers and hours, and may decline any job. FixNeighbor does not supervise or control the work.
3. FixNeighbor as the Pro's Payment Agent
The Pro appoints FixNeighbor as its limited agent for one purpose: to receive payments from Clients for jobs arranged on the Platform, on the Pro's behalf. When a Client pays through FixNeighbor (including when a PayPal hold is captured), that payment counts as payment by the Client to the Pro for that amount, whether or not FixNeighbor has already paid it out. The Pro will not ask the Client to pay that amount again.
FixNeighbor pays the Pro the captured amount minus FixNeighbor's success fee (Terms section 6.3) to the Pro's verified PayPal account, as described in the Payment Policy. Payouts may wait while a milestone is disputed, while required documents (such as a Form W-9) are missing, or where the law or PayPal requires it. FixNeighbor does not use Clients' payments for any other purpose.
4. Quotes and the Job Agreement
When a Client hires the Pro, a Job Agreement between the Client and the Pro is created on the Platform. It contains the job's scope, the price and milestones, how changes are approved, schedule and access, licenses, permits and insurance, the Pro's one-year workmanship warranty, cancellation, disputes, the mechanic's lien notice and lien waivers. The Pro accepts these standard terms by this Agreement and by sending a quote; the Client accepts them when funding the first milestone. Both can open the Job Agreement from the job in the app.
A quote that the Client accepts is binding on the Pro. Any change to the work or the price must be proposed as a price change in the app and approved by the Client before the extra work is done.
5. Mechanic's Lien Notice and Lien Waivers
The Pro authorizes FixNeighbor to deliver, on the Pro's behalf and before any payment, the Notice to Owner required by Missouri law (RSMo 429.012) and the Kansas notice to owner about supplier and subcontractor liens, as part of the Job Agreement.
Each time a milestone payment is released to the Pro through FixNeighbor, the Pro waives and releases any mechanic's lien right for the labor and materials covered by that payment. The Pro pays its own suppliers and subcontractors on time and, at the Client's request, provides their lien waivers. Before filing a lien for any unpaid amount, the Pro will first use the dispute process on the Platform and notify FixNeighbor.
6. Licenses, Insurance and Documents
The Pro holds every license, registration and permit required where each job is done, keeps general liability insurance in force, and keeps its documents on the Platform current, as described in Terms section 6.1. The Pro agrees that FixNeighbor may show its insurance details to Clients, and will add FixNeighbor LLC as an additional insured when FixNeighbor asks (Terms section 6.4).
7. Work Standards and Responsibility
The Pro performs the work professionally and according to the Job Agreement, and is solely responsible for the work, its workers and subcontractors, damage and injury they cause, permits, inspections and building codes (Terms section 6.4).
8. Non-Circumvention
For twenty-four (24) months after a Client first hires the Pro through FixNeighbor, all work for that Client is arranged and paid through the Platform. The consequences of a breach are in Terms section 6.5.
9. Claims, Indemnity and Repayment
The Pro will defend and compensate FixNeighbor for claims about the Pro's work, and repay amounts refunded to Clients because of the Pro's work, within the time and in the way described in Terms sections 16 and 16.1, including deduction from payouts.
10. Taxes
The Pro is responsible for its own taxes. The Pro provides a Form W-9 before its first payout. FixNeighbor or PayPal will issue tax forms (such as Form 1099) where the law requires.
11. Changes
FixNeighbor will give active Pros at least thirty (30) days' notice of a change to its fees (Terms section 6.3). When this Agreement changes, the Pro is asked to accept the new version in the app before sending new quotes. Changes do not apply to jobs already hired.
12. Ending This Agreement
Either party may end this Agreement at any time by closing the Pro account or as described in Terms section 18. Jobs already hired are completed or cancelled under their Job Agreements. Sections 3, 5, 8, 9 and 10, and the Pro's warranties, survive.
13. Disputes With FixNeighbor; Electronic Records
Disputes between the Pro and FixNeighbor are resolved as described in Terms sections 19 and 20. The parties agree that acceptance in the app and electronic records have the same effect as signatures on paper. FixNeighbor keeps a record of each acceptance (version, time and device).
